Agreement to Terms

By accessing and using the Augmend Excel Add-in ("the Add-in"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the Add-in.

Description of Service

The Augmend Excel Add-in is a software application that enables users to extract structured data from documents (PDFs, images, web pages) and import that data into Microsoft Excel workbooks. The Add-in uses artificial intelligence to analyze documents and extract information based on user-defined requirements.

Eligibility

You must be at least 13 years of age to use the Add-in. By using the Add-in, you represent and warrant that:

• You are at least 13 years old, consistent with our Privacy Policy, which prohibits use by children under 13.
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations
• You have the authority to bind yourself or your organization to these Terms

Acceptable Use

Permitted Uses

You may use the Add-in to:

• Extract data from documents you own or have permission to process
• Organize extraction projects for your personal or business use
• Share projects with authorized team members
• Download extracted data into Excel workbooks

Prohibited Uses

You agree not to:

• Use the Add-in for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Upload or process content that infringes on intellectual property rights
• Upload malicious software, viruses, or harmful code
• Attempt to reverse engineer, decompile, or disassemble the Add-in
• Interfere with or disrupt the Add-in's operation or servers
• Use automated systems to access the Add-in without authorization
• Share authentication credentials or access tokens
• Use the Add-in to process sensitive personal data without appropriate safeguards
• Resell or redistribute the Add-in or its services

User Accounts and Authentication

To use the Add-in, you must:

• Provide accurate authentication information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

Intellectual Property

Our Intellectual Property

The Add-in, including its software, design, logos, and documentation, is owned by Augmend and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Add-in in accordance with these Terms.

Your Content

You retain ownership of documents you upload and data you extract. By using the Add-in, you grant us a license to:

• Process your documents to provide extraction services
• Store your data securely in our cloud infrastructure
• Use aggregated, anonymized data for service improvement

Data and Privacy

Your use of the Add-in is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Add-in, you consent to our data practices as described in the Privacy Policy.

Service Availability and Modifications

We strive to provide reliable service but do not guarantee:

• Uninterrupted or error-free operation
• Specific accuracy rates for extraction
• Availability at all times

We reserve the right to:

• Modify, suspend, or discontinue the Add-in at any time
• Update features and functionality
• Implement usage limits or restrictions

Limitation of Liability

To the maximum extent permitted by law, Augmend shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Errors or inaccuracies in extracted data
• Service interruptions or unavailability

Given that the Preview version is provided free of charge, we shall have no liability for ANY indirect, incidental, special, or consequential damages arising from your use of the Add-in.

Indemnification

You agree to indemnify and hold harmless Augmend, its affiliates, and their officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Add-in
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload or process

Termination

We may terminate or suspend your access to the Add-in at any time, with or without cause or notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• At our sole discretion

Upon termination:

• Your right to use the Add-in immediately ceases
• We may delete your account and data
• You remain responsible for any obligations incurred before termination

Project Access Tokens (PAT)

If you use Project Access Tokens:

• You are responsible for keeping tokens secure
• Tokens may have expiration dates and usage limits
• You must comply with token scope restrictions
• Unauthorized token sharing is prohibited

Third-Party Services

The Add-in integrates with third-party services, including:

• Microsoft Office and Excel
• Google and Microsoft authentication services
• Cloud storage and hosting providers

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

Export Control

You agree to comply with all applicable export control laws and regulations. You will not export, re-export, or transfer the Add-in or related technology in violation of any applicable laws or regulations.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Add-in shall be resolved through:

1. Good faith negotiation
2. Mediation, if negotiation fails
3. Binding arbitration, or if arbitration is not available, litigation in the competent courts of the Netherlands.

Changes to Terms

We may modify these Terms at any time. Material changes will be notified by:

• Posting updated Terms on our website
• Updating the "Last Updated" date
• Providing notice through the Add-in

Your continued use of the Add-in after changes become effective constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Augmend regarding your use of the Add-in and supersede all prior agreements and understandings.
